Welcome to NubiWiq. These Terms of Service ("Terms") govern your use of our website nubiwiq.org and our durian packaging services. By accessing our website or using our services, you agree to be bound by these Terms.

1. Services Description

NubiWiq provides specialized packaging solutions for durian varieties, including design, manufacturing, and supply of packaging materials. Our services include custom packaging design, export-grade boxes, retail display packaging, vacuum sealed pouches, and related logistics support.

2. Order Process and Acceptance

Quotations: All quotations are valid for 30 days unless otherwise specified. Prices may vary based on material costs, order quantity, and delivery requirements.

Order Confirmation: Orders are confirmed upon receipt of signed purchase order and deposit payment. We reserve the right to accept or decline orders at our discretion.

Custom Orders: Custom packaging designs require approval of prototypes before production. Changes after production commencement may incur additional charges.

3. Payment Terms

Payment terms are typically 50% deposit upon order confirmation and 50% balance before delivery. We accept bank transfers, letters of credit, and approved trade financing arrangements. Late payments may incur interest charges at 1.5% per month.

4. Delivery and Risk Transfer

Delivery timeframes are estimates and depend on order complexity and material availability. Risk transfers to the buyer upon delivery to the specified address or pickup from our facility. We arrange shipping but buyers are responsible for customs clearance and import duties for international orders.

5. Quality Assurance and Warranties

We warrant our packaging materials to be free from manufacturing defects and suitable for intended use when used according to specifications. Our liability is limited to replacement of defective products or refund of purchase price. We do not warrant the suitability of packaging for specific durian varieties unless explicitly agreed in writing.

6. Limitation of Liability

Our total liability for any claim related to our products or services shall not exceed the value of the specific order in question. We are not liable for consequential damages, lost profits, or damages to durian products caused by factors beyond our control.

7. Intellectual Property

Custom packaging designs remain our intellectual property unless specifically assigned to the customer in writing. Customers grant us the right to use their requirements and specifications to develop packaging solutions. We respect customer confidentiality and do not share proprietary information with competitors.

8. Force Majeure

We are not liable for delays or failures in performance due to circumstances beyond our reasonable control, including natural disasters, government actions, material shortages, transportation disruptions, or pandemic-related restrictions.

9. Cancellation and Returns

Standard product orders may be cancelled within 24 hours of confirmation. Custom orders cannot be cancelled once production begins. Returns are accepted only for manufacturing defects reported within 7 days of delivery. Return shipping costs are borne by the customer unless the return is due to our error.

10. Compliance and Regulations

Customers are responsible for ensuring our packaging meets their local regulations and import requirements. We provide standard certifications but cannot guarantee compliance with all international standards without specific testing requests.

11. Confidentiality

We maintain confidentiality of customer information, including business requirements, order volumes, and proprietary specifications. This confidentiality obligation survives termination of our business relationship.

12. Dispute Resolution

Disputes shall be resolved through good faith negotiations. If unsuccessful, disputes will be subject to arbitration under Malaysian arbitration laws. The courts of Kuala Lumpur, Malaysia have exclusive jurisdiction over any legal proceedings.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be posted on our website with the effective date. Continued use of our services constitutes acceptance of modified Terms.

14. Governing Law

These Terms are governed by Malaysian law. Any legal proceedings must be conducted in English and in accordance with Malaysian commercial law and practices.
